Kenya's Land Act 2012 mandates a strict layered notice process before any charged property can be sold. Here is what that means in practice.

Under Kenya's Land Act 2012, a lender holding a charge over property must serve a series of statutory notices before exercising the power of sale. These notices run in sequence — a 90-day default notice, a 40-day notice of intention to sell, and a 45-day redemption notice — totalling a minimum of 175 days from first default notice to the earliest lawful auction date.
Day 0 — 90-Day Default Notice: The lender formally notifies the borrower of default and demands repayment within 90 days.

Day 90 — 40-Day Notice of Intention to Sell: If the debt remains unpaid, the lender serves notice of their intention to exercise the power of sale, giving the borrower a further 40 days.

Day 130 — 45-Day Redemption Notice: The auctioneer is instructed and a redemption notice is served, giving the borrower a final 45 days to redeem the property before the auction is held.
The notice periods are minimum statutory requirements set by the Land Act 2012. They exist to protect borrowers from rushed forced sales and to ensure due process. No contractual clause, lender policy, or court order can lawfully compress them. Any purported sale before the full notice period has elapsed is legally voidable.
In the traditional process, very little structured activity happens until Day 130 when the auctioneer is instructed. The asset sits on the lender's books accruing provisions and write-offs. The borrower has no structured marketplace to find a buyer. When the auction is eventually held, poor turnout, rushed due diligence, and thin bidder pools often result in below-market recovery — leaving residual debt and reputational damage for all parties.
